Job Description

Pye Legal Group is looking for a strong corporate and securities attorney who is ready to move in-house and expand their skillset. This position at a public energy company will focus on securities law, SEC filings, corporate governance, and other corporate matters. It’s a small team at a fast-growing company.

Responsibilities:

• Ensure compliance with securities laws, rules and regulations, including listing requirements
• Oversee all SEC filings (proxy statement, quarterly and annual reports and Section 16 filings)
• Advise on corporate governance activities relating to the Board of Directors
• Prepare drafts of a wide variety of transactional documents, including acquisition agreements, letters of intent and confidentiality agreements
• Support transactional due diligence including any corporate level or document review
• Advise on executive compensation matters and prepare and review equity compensation disclosures
• Advise on corporate policies such as insider trading policy and Regulation FD compliance
• Provide legal support on all capital markets transactions as well as financing matters
• Remain current on constant changes within legal and regulatory environment and communicate regarding potential corporate impact

Qualifications:

• Bachelor's degree and Juris Doctor in Law from an accredited U.S. law school with strong academic credentials.
• Active membership in the State Bar of Texas, or actively admitted in another U.S. jurisdiction.
• Minimum of four (4) years of law firm experience as a practicing attorney, with an emphasis on corporate and securities matters and dealing with SEC rules and regulations.

Candidate must reside in Denver, CO or Midland, TX. Relocation assistance is not available
